Terms of Service

1. Acceptance of Terms

By accessing or using the Civalyze platform (the "Service") operated by Civalyze LLC, an Arizona limited liability company ("Civalyze," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Civalyze is an AI-powered business intelligence platform that enables users to query their databases using natural language, create interactive dashboards, generate reports, and collaborate within organizations. The Service uses artificial intelligence to convert natural language questions into SQL queries that run against your connected data sources.

3. Accounts and Registration

  • You must provide a valid email address and create a password that meets our security requirements (minimum 10 characters, including uppercase, lowercase, number, and special character).
  • You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.
  • You may enable two-factor authentication (2FA) for additional account security.

4. Billing and Subscriptions

4.1 Trial and Plans

New accounts begin with a 14-day free trial with limited usage quotas — no credit card required. After the trial ends, a paid subscription is required to continue using the Service. The Service is available under the following plans:

  • Pro ($79/month): Expanded features and higher usage limits for individuals
  • Business ($149/month): Full features with team collaboration for organizations
  • Business+ ($299/month): Higher limits, more team members, and custom branding for scaling organizations
  • Enterprise: Custom pricing with dedicated support and tailored limits

4.2 Payment

Paid subscriptions are billed monthly through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You are responsible for keeping your payment information up to date. If a recurring payment fails, access to paid features may be restricted until payment is resolved; your data is preserved.

4.3 Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. After that, your personal workspace reverts to trial status (if your 14-day trial has already ended, a new subscription is required to regain access). If your subscription included an organization, the organization is scheduled for deletion following a 14-day grace period — we will notify you by email first, and you may export your data or resubscribe during that window to keep it.

4.4 Usage Limits

Each plan includes specific limits on AI interactions, chat messages, dashboards, charts, and data sources. If you exceed your plan limits, certain features may be temporarily restricted until the next billing period or until you upgrade your plan.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to the Service or other users' accounts or data
  • Attempt to bypass read-only restrictions on database connections
  • Use the Service to mine, scrape, or extract data from databases you do not have authorization to access
  • Interfere with or disrupt the Service or its infrastructure
  • Circumvent rate limits or usage quotas through technical means
  • Use the AI features to generate harmful, malicious, or illegal SQL queries
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Share your account credentials with third parties
  • Use the Service to store or transmit malware or malicious code

6. Your Data

6.1 Ownership

You retain all ownership rights to the data you connect to or upload to the Service, including database contents, uploaded files, and query results. We do not claim any ownership over your data.

6.2 License Grant

By connecting your data sources, you grant us a limited license to access your database schema metadata (table names, column names, data types, relationships, and row counts) for the purpose of providing the Service. This license does not extend to your actual data records, which are only accessed when you execute queries.

6.3 Data Security

We implement industry-standard security measures to protect your data, including AES-256-GCM encryption for credentials, read-only enforcement on database connections, and multi-tenant isolation. For full details, please refer to our Privacy Policy.

6.4 Data Export and Deletion

You may export your personal data in JSON format and request deletion of your account at any time from your account settings. Account deletion includes a 14-day grace period, after which all associated data is permanently removed from our systems.

7. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate SQL queries and data analysis. You acknowledge and agree that:

  • AI output is not guaranteed to be accurate. Generated SQL queries may contain errors, produce incorrect results, or fail to execute. You are responsible for reviewing and validating all AI-generated queries before relying on their results for business decisions.
  • AI-generated explanations are approximations. Natural language explanations of query results are generated by AI and may not perfectly reflect the underlying data.
  • You are responsible for your data decisions. Civalyze is a tool to assist with data analysis, not a substitute for professional judgment. We are not responsible for business decisions made based on AI-generated outputs.
  • Read-only access is enforced. The Service is designed to only read data from your connected databases and cannot modify, delete, or write to your external data sources. However, you are responsible for verifying that your database user has appropriate read-only permissions.
  • Limited data is sent to AI providers. To generate SQL and answer follow-up questions, your database schema metadata (table and column names), your natural language queries, generated SQL, and small samples of query results (used as conversation context) are sent to our AI provider (Anthropic). Your full datasets and complete query results are never sent. See our Privacy Policy for details.
  • Your data is not used to train AI models. We access our AI provider (Anthropic) through its commercial API. Under Anthropic's Commercial Terms of Service, inputs and outputs from the commercial API are not used to train its models, and we do not opt in to any program that would permit it.

8. Intellectual Property

The Service, including its software, design, logos, and documentation, is owned by Civalyze LLC and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our prior written consent.

Queries, dashboards, reports, and other content you create using the Service remain your intellectual property. We may use aggregated, anonymized usage statistics to improve the Service.

9. Third-Party Services

The Service integrates with third-party services including Stripe (payments), SendGrid (email), Anthropic (AI), and Google APIs (Sheets integration). Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or availability of third-party services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIVALYZE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Without limiting the foregoing, we are not liable for any damages resulting from: (a) inaccurate AI-generated SQL queries or analysis; (b) decisions made based on data or analysis obtained through the Service; (c) unauthorized access to your database due to improper permission configuration on your end; or (d) downtime or service interruptions.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR RELIABLE.

12. Indemnification

You agree to indemnify, defend, and hold harmless Civalyze and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) data you connect to or upload to the Service.

13. Termination

You may terminate your account at any time by deleting it from your account settings. We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Limitation of Liability, Disclaimers, Indemnification, and Governing Law) shall survive.

14. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the changes become effective constitutes your acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Arizona.
